Terms of Service

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SERVICES OFFERED BY UNDERFRAME LLC ("UNDERFRAME", OR "WE"). BY ACCESSING OR USING THE SERVICES IN ANY MANNER, YOU ("YOU" OR "CUSTOMER") AGREE TO BE BOUND BY THESE TERMS (THE "AGREEMENT") TO THE EXCLUSION OF ALL OTHER TERMS. YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT; IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ORGANIZATION OR ENTITY, REFERENCES TO "CUSTOMER" AND "YOU" IN THIS AGREEMENT REFER TO THAT ORGANIZATION OR ENTITY. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER. IF THE TERMS OF THIS AGREEMENT ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO SUCH TERMS.

You certify that you are at least 18 years of age. Services may only be used or accessed through an electronic device controlled by you at all times. A valid Underframe account may only be created and maintained if you provide valid information in the signup process, and you regularly update such information to assure its accuracy. You are responsible for all activities that occur under your account.

You may connect your Google or Microsoft account to sync your email and calendar data. By doing so, you authorize us to access and sync this data to provide the Services. We store synced content, metadata, and some attachments. If you disconnect your account, syncing stops, but previously synced data remains in Underframe until you delete your account, as it may be linked to RFIs and history.

You are solely responsible for all data, information, text, content, and other materials that you upload, post, or otherwise transmit in connection with the Services ("Your Content"). You own the content you provide, including chats, RFIs, projects, and synced email. By posting Your Content on or through the Services, you grant Underframe a worldwide, non-exclusive, royalty-free license to use, copy, modify, store, and process Your Content as necessary to provide the Services and for security purposes. Underframe reserves the right to remove or disable any of Your Content at any time for any reason, including upon receipt of claims or allegations from third parties relating to Your Content.

The Services use AI to generate responses and suggestions. Your Content may be sent to AI providers to generate these outputs. AI output can be wrong or incomplete. You are responsible for reviewing and verifying any AI-generated content before relying on it.

Underframe is not a licensed architect, engineer, or contractor and does not provide professional services. Do not rely on the Services as the sole basis for decisions that could affect safety, code compliance, or professional obligations.

You agree not to misuse the Services. This includes illegal activity, violating others' rights, uploading malicious content, or attempting to break or overload the Services. You must have permission to sync any email or content you connect. You will not reverse engineer, decompile, or otherwise attempt to discover the source code of the Services.

The Services are provided on an "as available" basis. The Services are currently in beta. Features may change and downtime may occur. We reserve the right to modify or discontinue, temporarily or permanently, the Services or any part thereof with or without notice.

If paid plans are offered, they are billed via Stripe. Plan details and pricing are shown at checkout. You represent and warrant that all payment information is accurate and that you are authorized to use the payment method. All fees are non-refundable except as expressly stated otherwise in this Agreement.

The term of this Agreement will commence on your acceptance and will continue for as long as the Services are being provided to you. You may stop using the Services at any time and may request account deletion. When your account is deleted, we delete your content as described in our Privacy Policy. We may suspend or terminate accounts for misuse, for legal or security reasons, or for any other reason at our sole discretion. Upon termination, the licenses granted under this Agreement shall immediately terminate and you shall cease use of the Services.

THE SERVICES ARE PROVIDED "AS IS" AND UNDERFRAME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. UNDERFRAME DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDERFRAME SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL UNDERFRAME'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE FEES PAID BY YOU TO UNDERFRAME FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY.

This Agreement shall be governed by the laws of the State of New Hampshire without regard to its conflict of laws provisions. Any disputes will be resolved in courts located in New Hampshire.
