TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of Underframe’s construction intelligence platform and related services (the “Service”) provided by Underframe LLC (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

You must be at least 18 years old to use the Service.

The Service is currently in early access. This means:

• Features may change, be added, or removed at any time
• The Service may experience downtime or issues
• We welcome your feedback to improve the Service
• Pricing and terms may change when we launch publicly

3.1 Account Creation

You must create an account using accurate information. You’re responsible for:

• Providing and maintaining a valid email address
• Maintaining the security of your email account (we use magic link authentication)
• All activities under your account
• Notifying us immediately of any unauthorized access

We’ll send magic links to your registered email for authentication - ensure you have secure access to this email address.

3.2 Organizations

• You may create an organization or join existing organizations
• Organization creators can invite other users
• All members of an organization can access that organization’s projects and documents
• Organization administrators may remove members or delete the organization

4.1 Ownership

You retain all ownership rights to documents and content you upload (“Your Content”). We don’t claim ownership of Your Content.

4.2 License to Us

To provide the Service, you grant us a limited license to:

• Store, process, and display Your Content
• Generate search results from Your Content
• Create technical copies as needed for the Service
• Process Your Content through our AI service providers for search functionality

For service improvement, you separately grant us the right to:

• Collect and analyze anonymized search queries
• Use your feedback (upvotes/downvotes) to improve search accuracy
• Process document segments you explicitly choose to share with feedback

This license ends immediately when you delete Your Content. Note that:

• Deletions are permanent and cannot be undone
• Anonymized data used for improvements may be retained

4.3 Content Restrictions

You may not upload content that:

• You don’t have rights to share
• Is illegal or violates others’ rights
• Contains malware or malicious code
• Violates any applicable laws or regulations

4.4 File Limitations

• Maximum file size: 20MB per file
• Supported formats: PDF (initially)
• Additional formats may be added later

5.1 Fair Use Policy

While we don’t impose hard limits during early access, we expect reasonable use of:

• Storage space
• Query frequency
• Bandwidth and computing resources

We may contact you if your usage significantly exceeds normal patterns.

5.2 Prohibited Uses

You may not:

• Reverse engineer or copy the Service
• Use the Service for illegal purposes
• Attempt to gain unauthorized access
• Resell or sublicense the Service
• Use automated systems to access the Service
• Interfere with other users’ access
• Share credentials with others

5.3 Industry-Specific Restrictions

Given the sensitive nature of construction documents, you must:

• Only upload documents you have permission to share within your organization
• Respect confidentiality agreements and trade secrets
• Not use the Service to gain unauthorized competitive intelligence

6.1 What We Provide

We provide a platform for:

• Document storage and organization
• AI-powered search across your documents
• Highlighted excerpts showing relevant information
• Project-based organization within your organization

6.2 Service Limitations

• Search results are AI-generated and may not be perfect
• We don’t guarantee 100% accuracy or completeness
• The Service is not a replacement for professional judgment
• We may modify or discontinue features at any time

6.3 Third-Party Services

Our Service integrates with various third-party providers as described in our Privacy Policy. Your use of the Service means you understand we share data with these providers as necessary to deliver our services.

6.5 Telemetry and Diagnostics

To maintain and improve the Service:

• We may collect usage data (features used, file types, project statistics)
• We may collect crash reports to identify and fix issues
• This data is associated with an anonymous identifier
• You can review our data collection practices in our Privacy Policy

6.6 Service Improvement

To improve our search capabilities:

• We may collect anonymized search queries
• You may provide feedback (upvotes/downvotes) on search results
• You can choose to share document context with your feedback
• This data helps us improve search accuracy for all users

As described in our Privacy Policy, we do NOT use your documents or queries to train AI models.

Our Privacy Policy explains how we handle your information. Key points:

• We use magic link authentication (no passwords stored)
• We don’t use your documents to train AI models
• We process documents only to provide search results
• Deletions are immediate and permanent
• We collect anonymized usage data and search queries to improve the Service
• You control whether to share document context with feedback
• We may collect crash reports to improve reliability

The Service is free during early access. We’ll notify you before introducing paid plans. Future paid features may include:

• Additional storage
• Advanced features
• Priority support
• Team collaboration tools

9.1 You May Terminate

You can stop using the Service and delete your account at any time by emailing us.

9.2 We May Terminate

We may suspend or terminate your access if you:

• Violate these Terms
• Use the Service illegally
• Exceed fair use significantly
• Haven’t used your account in 12 months

9.3 Effect of Termination

Upon termination:

• Your access ends immediately
• You should download Your Content before requesting termination
• We’ll delete Your Content immediately upon termination
• Deletions are permanent and cannot be recovered
• Anonymized usage data and feedback may be retained indefinitely for service improvement

THE SERVICE IS PROVIDED “AS IS” DURING EARLY ACCESS. WE MAKE NO WARRANTIES ABOUT:

• AVAILABILITY OR UPTIME
• ACCURACY OF SEARCH RESULTS
• FITNESS FOR YOUR SPECIFIC NEEDS
• SECURITY OR DATA INTEGRITY

USE THE SERVICE AT YOUR OWN RISK. ALWAYS VERIFY IMPORTANT INFORMATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE’RE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY IS LIMITED TO $100 OR FEES YOU’VE PAID US IN THE PAST 6 MONTHS (WHICHEVER IS GREATER)
• THESE LIMITS APPLY EVEN IF WE KNEW DAMAGES WERE POSSIBLE

You agree to defend and hold us harmless from claims arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of others’ rights

13.1 Governing Law

These Terms are governed by New Hampshire law. Any disputes will be resolved in New Hampshire courts.

13.2 Changes to Terms

We may update these Terms at any time. We’ll notify you of material changes via email. Continued use after changes means you accept the new Terms.

13.3 Entire Agreement

These Terms and our Privacy Policy are the complete agreement between us regarding the Service.

13.4 Severability

If any part of these Terms is invalid, the rest remains in effect.

13.5 No Waiver

Our failure to enforce any right doesn’t waive that right.

13.6 Assignment

You can’t assign these Terms. We may assign them in connection with a merger or sale.
